The St. Paul, Minneapolis and Manitoba Railway Company was organized in 1879; its incorporation was confirmed by the Minnesota state legislature in 1881. The company's primary purpose was to assume the properties, franchises and charter rights of the St. Paul and Pacific Railroad Company and the latter's First Division. The company acquired an initial 600 miles of trackage from the St. Paul and Pacific. Between 1879 and 1890 the company constructed 2800 miles of line and acquired 410 miles from other companies, extending the company's operation into Montana. In 1890 all properties and operations were leased to the Great Northern Railway Company and the Great Northern purchased all of the Manitoba's investments. Between 1890 and 1907 the company constructed or acquired another 1100 miles of track extending to Everett, Washington. As of November 1907 all corporate property was sold to the Great Northern.
