The company was incorporated in 1889 to take over the construction rights of the Duluth and Winnipeg Syndicate, which had been organized to build the Duluth and Winnipeg Railroad in northern Minnesota. That company had built a 20-mile line north from Cloquet. Its successor built an additional 125 miles, extending the line to Grand Rapids. In 1890 the company was reorganized as a New Jersey corporation and completed the line through to Fosston. It ran into renewed financial problems in 1893 and was placed in receivership in 1894. Its charter was revoked in 1898.
