Incorporated in 1902 under the laws of the state of South Dakota (as the Sioux Falls and Manitoba Railway Company), the company built a railway line from Sioux Falls to Watertown, South Dakota. Having changed its name on 14 December 1903, it operated and improved the existing line. On 31 March 1915, the company defaulted on its bond interest and sinking fund payments (1st mortgage 20-year bond, $850,000: 1907) and went into foreclosure with H.S. Stebbins acting as receiver. The company was sold 12 June 1916 and its property turned over to the Watertown and Sioux Falls Railway Company.
