The company was incorported (Minnesota) in 1875 to construct and operate a rail line from Breckenridge to Glyndon, Minnesota. James J. Hill interests acquired the company in 1879, its assets consisting of 12 miles of completed roadway between Crookston and Fisher's Landing. The St. Paul, Minneapolis and Manitoba Railway completed the line to East Grand Forks in 1879. The company was disincorporated in 1925, its properties having been absorbed into the GN system.
