The Pullman's Palace Car Company was organized by a February 22, 1867, act of the Illinois General Assembly, entitled, "An Act to incorporate the Pullman's Palace Car Company."

On July 15, 1867, the Board of Directors (original stockholders George M. Pullman, John Crerar, Norman Williams, J. Irving Pearce, Schuyler S. Benjamin, H.E. Sargent, and Robert Harris) accepted the act as the charter of the corporation and approved by-laws governing the new firm.
