Incorporated in 1891 under the laws of the state of Nebraska, the company purposed to purchase and operate the former Pacific Short Line (sold under foreclosure that year), which consisted of a completed line from Covington to O'Neill (Neb.). The company defaulted on its bond interest and went into receivership (F.C. Hills, receiver) on 1 November 1893. In 1899 (after a long litigation delay), the line was sold, leading to the incorporation of the Sioux City and Western Railway Company to take over the property.
