The Society was formed in March 1923, "to stimulate interest and to promote scholarship in the science and philosophy of mathematics; and further, to provide an opportunity for the pursuance and expression of the interest thereby aroused."
Membership was by ballot, open to undergraduates meeting the mathematical course of study requirements, and open to the faculty, administration, and alumni of the school. An executive committee identified discussion topics and arranged meeting programs.
