The company was incorporated in 1895 to assume the properties of the Colubia River and Astoria Railway Company. It eventually built and operated 83 miles of line between Holloday and Goble and between Warrenton and Fort Steven. The company's properties were sold to the Spokane, Portland and Seattle Railway in 1911.
