Incorporated in 1895 under the laws of the state of Oregon, the company operated a railway main line from Holladay to Goble, with a branch line from Warrenton to Fort Stevens, Oregon. It was sold to the Spokane, Portland, and Seattle Railway Company in 1911.

The company was incorporated in 1895 to assume the properties of the Colubia River and Astoria Railway Company. It eventually built and operated 83 miles of line between Holloday and Goble and between Warrenton and Fort Steven.
