These articles of incorporation, bylaws, and agreements were generated because of actions taken to effect a merger in 1962 of the Lutheran Deaconess Motherhouse and Training School, Baltimore, Maryland (BMD) and the Philadelphia Motherhouse of Deaconesses (PMD). Before 1962 the BMD was not incorporated but was under the direct governance of the United Lutheran Church in America's Board of Deaconess Work (BDW). When in 1961 discussions began about merging the two motherhouse communities, there was a consensus that because each motherhouse had substantial properties and endowments, the Agreement of Consolidation, to which the merging churches that would create the Lutheran Church in America were party to, would require the BMD to incorporate in order to merge the two communities. After incorporation, all BMD real estate and tangible personal property would be transferred to the new corporation.
